CONSTITUTION

1:

NAME:

1:1

The name of the Union shall be the Nottinghamshire Union of Golf Clubs, hereinafter referred to as "the Union".

2:

OBJECTS:

The objects of the Union shall be:

2.1:

To promote and administer amateur golf in Nottinghamshire.

2.2:

To encourage and assist its member clubs.

2.3:

To uphold and abide by the Rules of Golf and the Rules of Amateur Status as laid down by the Royal and Ancient Golf Club of St. Andrews Limited, hereinafter referred to as "the R & A".

2.4:

To assist and cooperate with the Council of National Golf Unions, hereinafter referred to as "CONGU", and ensure that the Union and its members comply with the Regulations and Rules of the CONGU Unified Handicapping System 2008 [as amended] subject to any conditions imposed within the scheme by the English Golf Union Limited, hereinafter referred to as "the EGU".

2.5:

To assist and cooperate with the English Golf Union Limited, hereinafter referred to as "the EGU" and the Midland Golf Union Limited, hereinafter referred to as "the MGU", and abide by such Rules as laid down from time to time insofar as they affect the Union.

2.6:

 

 

EQUITY: In the activities for which it is constituted the Union has adopted the England Golf Generic Equity Statement and the English Golf Union Ltd / English Women's Golf Association Equity and Equal Opportunities Policy. The Union agrees to:

support the principle and practice of equity, equality and equality of opportunity.
challenge discrimination that is indirect, direct, intentional or unintentional.
monitor and review practices, procedures and regulations to ensure that equity aims are addressed within the business of the Union.
work with the EGU and the English Women's Golf Association to ensure that all people, irrespective of their age, gender, ability, social status, race, ethnic origin, religious belief, disability or sexual preference have a genuine and equal opportunity to participate in golf.

2.7:

CHILD PROTECTION: In the activities for which it is constituted the Union recognises its responsibility to safeguard the welfare of children and young people and is committed to ensuring that all children and young people have a safe and positive experience when playing golf. The Union is committed to working with the EGU and the English Women's Golf Association to ensure the sport of golf is one within which children and young people involved can flourish in a safe environment.

3:

MEMBERSHIP:

3.1:

Membership of the Union shall be open to golf clubs within the County of Nottinghamshire and borders thereof subject to the following conditions:

3.1.1:

To abide by the Rules and Regulations of the Union.

3.1.2:

To abide by the Rules of Golf and the Rules of Amateur Status as laid down by the R & A.

3.1.3:

To abide by the Rules and Regulations of the CONGU Unified Handicapping System 2008 [as amended] as laid down by CONGU subject to any conditions imposed within the scheme by the EGU.

3.1.4:

To provide a Constitution and Rules which must be approved by the Union and which must contain in particular the requirement that all Officers [apart from Presidents, Past Presidents, and Golf Managers] and the Handicap and Competition Committee are elected by the club members and furthermore that the Handicap Committee members are responsible for the Handicapping Scheme within the Club.

3.1.5:

To agree that the Union, providing that they give reasonable notice, shall be granted courtesy of the course and clubhouse on up to three occasions a year to organise Union events, except when the course and clubhouse facilities are to be used for County Championships as agreed in 1983.

3.1.6:

To immediately inform the Union as to any change in the design and length of the course.

3.1.7:

To immediately inform the Union as to any change in the Constitution and Rules of the Club.

3.1.8:

To immediately inform the Union as to any change of ownership of a Club and new conditions imposed.

4:

AFFILIATION AND DISAFFILIATION:

4.1:

Affiliation of new Clubs shall be approved at a meeting of the Executive Committee within the guidelines as laid down by the EGU.

4.2:

Disaffiliation of a Club shall also be approved at a meeting of the Executive Committee.

4.3:

Any appeal against the decision of the Executive Committee to refuse to affiliate, or to disaffiliate, a Club shall be made in writing to the Secretary of the Union within fourteen days of the Club being notified of such decision, If such an appeal is received the Officers of the Union shall have the power to review the matter and make a decision and such finding shall be final.

4.4:

Any Club wishing to disaffiliate from the Union must give notice of such intention on or before the 31st October in any year, otherwise the member Club shall be liable to pay the appropriate annual rate of subscription for the ensuing year.

5:

MANAGEMENT OF THE UNION:

5.1:

The management of the Union shall be vested in the Executive Committee.

5.2

The Union is a non-profit making organisation and shall not make a distribution of any profits or surpluses save to another non-profit making body. In the event of the dissolution of the Union the assets and property of the Union shall be distributed only to non-profit making bodies as shall be directed by the Council of the Union.

6:

THE EXECUTIVE COMMITTEE:

The Executive Committee shall consist of the following members:

6.1:

One representative nominated by each Club.

6.2:

The Officers appointed under Regulation 7.

6.3:

Vice-Presidents [Past Presidents].

6.4:

The appointed representatives of the Union on the General Committee of the EGU and Council of the MGU.

7:

THE OFFICERS OF THE UNION:

The Officers of the Union shall be:

7.1:

The elected Officers.

7.1.1:

The elected Officers of the Union shall be:

The President; the Deputy President; the Vice-Presidents; the County Secretary; the Assistant County Secretary; the County Treasurer; the County Seniors Secretary; the County Captain; the County Second Team Captain; the Chairman of Junior Golf; the Competitions Secretary; theInter Club League Secretary; the Nottingham Evening Post Tournament Organiser; the Course Lead Assessment Officer; the Dinner Secretary; the English Golf Union Voting Member; the Midland Golf Union Voting Member.

7.1.2:

All the elected Officers shall be elected annually at the Annual General Meeting of the Union.

7.1.3:

The President shall not serve for more than two years.

7.1.4:

The Captains shall not serve for more than two years.

7.2:

Past Presidents:

7.2.1:

The President having completed his term of office becomes a Vice-President for life, and remains a member of the Council. [Rule.10]

8:

DUTIES OF THE OFFICERS:

8.1:

The President shall represent the Union at the various Championships, Matches, County Dinners and other events as may be necessary. Such duties shall be shared as and when necessary with the Deputy President. The President is an ex-officio of all the Committees of the Union.

8.2:

The President shall be responsible for the smooth running of the administrative side of the Union and will chair the Annual General Meeting, Council. Executive, and Finance meetings.

8.3:

The Captain shall be responsible for all County matches of the Union. The Secretary, the Captain of the Second Team, and the Chairman of Junior Golf shall keep him informed of all matters concerning other matches. He will also be responsible for the assembling of the County First Team.

8.4:

The Secretary shall be responsible for:

8.4.1:

The convening of meetings as directed.

8.4.2:

The taking of minutes at such meetings which shall be kept as a permanent record.

8.4.3:

The organisation and administration of County Championships and competitions.

8.4.4:

Attending to the day to day business of the Union by acting on his own initiative, but shall inform the President of any decisions taken.

8.5:

The Treasurer shall be responsible for all financial transactions of the Union and shall undertake such duties as the Executive Committee requires. He shall ensure that audited accounts for the Union are prepared each year by an appointed auditor who is not an Officer of the Union.

8.6:

The Chairman of Junior Golf shall be responsible for the organisation of Championships, Events, Matches and Coaching of Juniors as laid down by the Executive Committee by acting on his own initiative, but shall inform the Secretary of any decisions taken. He shall cooperate with the MGU on junior matters within the Midland Counties and attend meetings of the Junior Delegates of the Union.

8.7:

The Course Assessment Officer shall be responsible:

8.7.1:

Assisting member Clubs when further development is envisaged and Course Assessment in accordance with the terms of the Rules and Regulations of the CONGU Unified Handicapping System 2008 [as amended] .

8.7.2:

Assisting developers with new developments within the County when called upon.

8.7.2:

Assisting the Regional Development Officer of the MGU as and when required.

8.7.4:

Attending development seminars of the EGU.

8.7.5:

Assisting the Secretary on the affiliation of new Clubs, or other new developments within the County.

8.8:

The Seniors' Secretary shall be responsible for:

8.8.1:

Attending to the day to day business of the of the Seniors' section of the Union as laid down by the Executive Committee by acting on his own initiative, but shall inform the Secretary of any decisions taken. He shall cooperate with the MGU on seniors' matters within the Midland Counties and attend meetings of the Senior Delegates of the Union.

9:

THE DELEGATES:

9.1:

One delegate shall be elected annually by the Council to represent the Union at General Meetings of the EGU and the Council of the MGU shall be elected by the Council.

10:

THE COUNCIL:

10.1:

The Council shall consist of the President, Deputy President and Vice-Presidents, the Honorary Treasurer will be invited when requested. They will nominate the Deputy President for approval by the Executive Committee. The Council should consider important matters and problems as and when necessary and make appropriate recommendations to the Executive Committee.

11:

THE SELECTION COMMITTEE:

11.1:

The Selection Committee shall consist of the President, the Deputy President, the Captain, the Captain of the Second Team, the Secretary, and the Chairman of Junior Golf. They shall be responsible for the selection of Union teams and day to day matters concerning County matches. The President shall chair the meeting.

12:

VOTING POWERS:

12.1:

Each Member Club shall have one vote per fifty male members whenever a postal vote is requested. At Executive Committee meetings only the Club representative or his Deputy may be allowed to vote. At the Annual General Meeting or Extraordinary General Meetings voting will be by a show of hands. At any of these meetings the President shall have the casting vote. Officers of the Union who receive an Honorarium or Expenses will not be allowed to vote.

13:

ANNUAL GENERAL MEETING:

13.1:

 

The Annual General Meeting of the Union shall take place in March when elections will be held for the Officers of the Union. An audited financial statement shall be submitted for approval be the meeting. The Secretary shall give notice of at least twenty-one days of such meeting to all Council Members, Club Representatives, and the Secretary of each Member Club, together with an Agenda showing the matters to be discussed and any necessary papers appertaining to such discussions. Members of the Executive Committee wishing to put forward a proposal or nomination must give notice in writing to the Secretary of the Union no later than the 31st January prior to the meeting.

14:

EXECUTIVE COMMITTEE MEETINGS:

Meetings of the Committee shall be held as required and also in October or November annually when:

14.1:

Reports of the golfing season shall be given,

14.2:

The subscription for the following year to be fixed, and

14.3:

Any other matters may be discussed.

14.4:

Proposals for this meeting must reach the Secretary of the Union no later than the 31st August prior to the meeting.

15:

SPECIAL MEETINGS OF THE EXECUTIVE COMMITTEE:

15.1:

A Special Meeting of the Executive Committee may be convened at any time by the Secretary. The Secretary must also convene a meeting upon written request being made by any five Member Clubs, such written request shall state the business which the Clubs wish to bring before the Special Meeting. Four weeks notice shall be given by the Union Secretary to the Secretary of each Member Club and all Executive Committee members, and no business shall be considered at such Special Meeting of which notice has not been given in accordance with this Rule.

16:

RULES AND REGULATIONS:

16.1:

No Regulation of the Union shall be repealed or altered and no Regulation shall be approved without a majority of at least two-thirds of the votes cast by those present and entitled to vote at the Executive Committee meeting. Twenty-one days notice of any proposed alteration or addition must be given by the Secretary of the Union to all Executive Committee members.

17:

SUBSCRIPTIONS:

17.1:

All subscriptions payable by Member Clubs shall become due and payable on the 30th April in each year. A representative of the Club whose subscription is unpaid shall not be entitled to attend or vote at any meeting of the Executive Committee, and no member of that Club shall be allowed to play in any competition of the Union. A member Club that has not paid the subscription by the 31st May will cease to be a member of the Union. The Council will have the right to determine an appeal from a Club that has lost its membership when extenuating circumstances prevail, and have the power to reinstate the Club.

18:

QUORUM:

18.1:

The Quorum for any meeting shall be fifty percent of the Executive Committee or Council, of which two must be Officers. Should there not be a quorum at a meeting the Secretary will reconvene the meeting as a soon as possible. If there is still not a quorum, the meeting may then take place provided all Members have been notified.

19:

SELECTION OF SENIOR OFFICERS:

19.1:

When a nomination is required for the office of a Deputy President, the Secretary shall convene a meeting of the President and Council who shall put forward a nomination for the Executive Committee to consider.

19.2:

When a nomination for Captain is required, the Secretary shall convene a meeting of the President, Captain and Council, who shall put forward a nomination for recommendation to the Executive Committee to consider.

19.3:

When a nomination for Secretary, Assistant Secretary, Treasurer, Chairman of Junior Golf, Course Assessment Officer, is required the Secretary shall convene a meeting of the Council who shall put forward a nomination for recommendation to the Executive Committee to consider.

20:

RESIGNATION OR DEATH:

20.1:

If, during the course of a year, a vacancy arise amongst the Officers through resignation or death, then his predecessor shall be asked to carry out such duties for the duration of the year. Should this not be possible, the Council shall appoint a replacement to fill the vacancy until the next Annual General Meeting.

20.2:

In the case of a nominated Club representative resigning, or death, then the Club shall name a replacement.

21:

HONORARIA TO OFFICERS:

21.1:

Honoraria payable to Officers of the Union to cover expenses incurred on behalf of the Union shall be paid as decided by the Executive Committee and shall be reviewed annually at the Annual General Meeting.

22:

PROCEDURE AND CONDUCT OF DISCIPLINARY COMMITTEE:

22.1:

The Procedure shall be as recommended by the EGU. Should there be such an incident, the Secretary will immediately notify the EGU and also the Insurance Company if necessary. The Disciplinary Committee will consist of the President and four Members nominated by the Council.
